Welcome to Suzy. The terms “we,” “us,” and “our” refer to Suzy. Suzy operates this online store and website, including related information, content, features, tools, products, and services (collectively, the “Service”). The Service is powered by Shopify.

These Terms of Service, together with the policies referenced on this store, govern your use of the Service and describe your rights and responsibilities.

Please read these Terms carefully. By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms or our Privacy Policy, please do not use the Service.

Placing an order constitutes an offer to purchase. Suzy reserves the right to accept or decline an order where permitted by applicable law. An order is accepted when we confirm acceptance and payment has been successfully processed.

Please review your order carefully before submitting it. Cancellation requests may not always be accommodated after an order has been confirmed, except where required by applicable law.

If we decline, modify, or cancel an order, we will attempt to notify you using the contact information provided with the order.

Returns, exchanges, cancellations, and refunds are handled in accordance with our Refund Policy and applicable mandatory consumer laws.

Products purchased through the Service are intended primarily for personal or household use and not for unauthorized commercial resale.

Section 4 - Prices and Invoicing
Prices, discounts, and promotions may change without notice. The price charged will be the price displayed at the time the order is placed and will be shown in your order confirmation.

Prices displayed for customers in Japan include applicable Japanese consumption tax unless otherwise stated. Shipping charges, customs duties, import taxes, VAT/GST, customs clearance fees, and other import-related charges may apply separately depending on the destination and will be handled as described in our Shipping Policy.

You agree to provide current, complete, and accurate purchase, payment, and account information for all purchases made through the Service and to promptly update such information when necessary.

You represent that you are authorized to use the payment method submitted for the purchase and agree to pay all amounts properly charged in connection with your order.

Shipping methods, processing times, delivery estimates, customs duties, import taxes, remote area charges, and other delivery conditions are described in our Shipping Policy.

Delivery times are estimates and are not guaranteed. Delays may occur due to customs clearance, carrier operations, weather, local conditions, or other circumstances beyond our reasonable control.

Risk of loss or damage will pass in accordance with applicable law. Nothing in these Terms limits any mandatory consumer rights regarding delivery, loss, damage, or non-conforming goods.

Our services (including, but not limited to, all trademarks, brands, text, displays, images, graphics, product reviews, videos, audio, and their design, selection, and arrangement) are owned by Suzy, its affiliates, or its licensors, and are protected by applicable copyright, trademark, patent, and other intellectual property laws.

You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on the Service without our prior written consent. Except as expressly provided in these Terms, nothing herein grants, or shall be construed as granting, any license or other right under any patent, trademark, copyright, or other intellectual property of Suzy, Shopify, or any third-party service. Unauthorized use of the Service may violate federal and state intellectual property laws. All rights not expressly granted herein are reserved by Suzy.
Suzy’s name, logo, product names, service names, designs, and slogans are trademarks of Suzy or its affiliates or licensors. You must not use such trademarks without Suzy’s prior written permission. Shopify’s name, logo, product names, service names, designs, and slogans are trademarks of Shopify. All other names, logos, product names, service names, designs, and slogans on the Service are the trademarks of their respective owners.

Section 7 - Optional Tools
You may be provided with access to third-party tools as part of the Service; however, we neither monitor nor have any control over nor input into such tools.
You acknowledge and agree that we provide access to such tools "as is" and "as available" without any warranties, representations, or conditions of any kind and without any endorsement. Furthermore, we shall have no liability whatsoever arising from or relating to your use of optional third-party tools.

The Service is powered by Shopify, which provides the technology that enables us to operate our online store. However, sales and purchases made through the store are transactions directly between you and Suzy.

To the extent permitted by applicable law, Shopify is not responsible for the products sold by Suzy or for claims arising solely from transactions between you and Suzy.

You agree that your Feedback will not infringe upon the rights of any third party, including copyright, trademark, privacy, publicity, or other intellectual property or personal or proprietary rights. You also agree that your feedback will not contain libelous, defamatory, or otherwise unlawful, abusive, hateful, or obscene material, nor contain any computer virus or other malware that could in any way affect the operation of the Service or any related website. Furthermore, you agree not to: (a) Upload or transmit viruses or any other type of malicious code that will or may be used in any way that affects the functionality or operation of the Service. (b) Reproduce, duplicate, copy, extract, sell, resell, or exploit any portion of the Service. (c) Track the personal information of others. (d) Engage in spam, phishing, fraud, or service pretexts. (e) Use robots, spiders, scraping, data gathering and extraction tools, automated devices or processes, AI tools (such as agentic AI), or any automated or manual means to access the Service. Or (f) Interfere with, circumvent, or bypass security or authorization features, robot exclusion headers, or other measures we employ to restrict access to the Service. We reserve the right to suspend, disable, or terminate your account at any time without notice if we determine that you have violated any part of these Terms.

14.4 Agents must: (i) identify themselves as Agents in all HTTP/HTTPS requests and disclose their name by including the user-agent string "Agent/[Agent Name]"; (ii) not conceal or obfuscate the fact that the access, use, or interaction originates from an Agent—for example, by mimicking human behavior or interaction patterns, or by completing or bypassing CAPTCHAs or other measures designed to distinguish between human and computer usage; (iii) respond truthfully to questions or prompts intended to determine whether an interaction originates from a human or a computer; and (iv) not circumvent or attempt to bypass measures intended to block, limit, modify, or control whether and how Agents access, use, or interact with the Services.

Section 15 - Termination
We may, at our sole discretion, terminate this Agreement or your access to the Services (or any part thereof) at any time without prior notice. In such a case, you remain liable for all outstanding amounts due up to the date of termination.
The following sections shall survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature are intended to survive.

Section 16 - Disclaimer of Warranties
Information provided through the Service is for general informational purposes. To the maximum extent permitted by applicable law, the Service is provided on an “as is” and “as available” basis without warranties beyond those that cannot lawfully be excluded.

To the maximum extent permitted by applicable law, Suzy and its officers, employees, affiliates, agents, contractors, service providers, and licensors will not be liable for indirect, incidental, special, punitive, or consequential damages arising from your use of the Service or products purchased through the Service.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, or limits any mandatory consumer rights available to you.

Section 18 - Indemnification
You agree to indemnify, defend, and hold harmless Suzy, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any loss, damage, liability, or claim—including reasonable attorneys' fees—payable to third parties arising out of or related to (1) your breach of these Terms of Service or the documents incorporated herein by reference, (2) your violation of any law or the rights of a third party, or (3) your access to and use of the Service.
We will notify you of any such claim subject to indemnification; however, failure to provide prompt notice shall not relieve you of your obligations unless such failure materially prejudices you. We may manage the defense and settlement of claims subject to indemnification at your expense, including the selection of counsel; however, we will not settle any claim requiring non-monetary obligations on your part without your consent (which shall not be unreasonably withheld). You shall assist in the defense of claims subject to indemnification, including by providing relevant documents.

Section 19 - Severability
In the event that any provision of these Terms of Service is determined to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service; such determination shall not affect the validity and enforceability of any other remaining provisions.

The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
These Terms of Service and any policies or operating rules posted by us on this site or in respect to the Service constitute the entire agreement and understanding between you and us and govern your use of the Service. These Terms of Service supersede any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).
Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.
